1. Agreement to Terms

By accessing or using Zerva's services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Zerva reserves the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Zerva is an enterprise data intelligence platform that connects to your data sources, processes information using artificial intelligence, and delivers insights, reports, and alerts. The Service includes software, APIs, connectors, dashboards, and related features as described on our website and in product documentation.

3. User Accounts

Account Creation: You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security: You agree to notify Zerva immediately of any unauthorized use of your account. Zerva is not liable for any loss or damage arising from your failure to maintain account security.

Eligibility: You must be at least 18 years old and have the authority to enter into this agreement on behalf of yourself or your organization.

4. Data and Privacy

Your Data: You retain all rights to the data you upload, connect, or process through the Service ("Customer Data"). Zerva does not claim ownership of Customer Data.

Data Processing: By using the Service, you grant Zerva a limited license to access, store, and process Customer Data solely to provide the Service and improve our AI models and platform features. Zerva will not share your Customer Data with third parties except as required to provide the Service or as required by law.

Privacy Policy: Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers/networks connected to the Service
Use the Service to send unsolicited communications (spam)

6. Intellectual Property

Zerva's IP: The Service, including all software, text, graphics, logos, and code, is owned by Zerva and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant Zerva a perpetual, royalty-free license to use and incorporate that feedback without compensation or attribution.

7. Payment and Billing

Subscription Plans: Zerva offers various subscription tiers with different features and pricing. You agree to pay all fees associated with your selected plan.

Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize Zerva to charge your payment method on file for all applicable fees.

Refunds: Fees are non-refundable except as required by law or as explicitly stated in your subscription agreement.

Price Changes: Zerva may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Service Availability

Zerva strives to maintain high availability and uptime but does not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, and we are not liable for any downtime, service interruptions, or data loss resulting from such maintenance or unforeseen technical issues.

9. Limitation of Liability

To the maximum extent permitted by law, Zerva and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

In no event shall Zerva's total liability exceed the amount you paid to Zerva in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Zerva does not warrant that the Service will be error-free, secure, or uninterrupted.

11. Termination

By You: You may terminate your account at any time by contacting Zerva support or through your account settings. Termination does not relieve you of any payment obligations for the current billing period.

By Zerva: Zerva may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct that Zerva deems harmful to the Service or other users.

Effect of Termination: Upon termination, your access to the Service will cease, and Zerva may delete your Customer Data in accordance with our data retention policies.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to protect intellectual property rights.

13. Changes to Terms

Zerva reserves the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
